Legal Notice & Disclaimer
1. Personal-Use License
Unless a design is expressly sold under a separate commercial license, all designs are licensed to the original purchaser for personal, non-commercial use only.
Personal use includes:
- Stitching designs for yourself
- Stitching gifts for friends or family (not for resale)
Personal use does NOT include:
- Selling embroidered items that use our designs
- Producing items for customers or clients
- Any commercial or for-profit production
- Sharing, copying, emailing, or redistributing files
- Mass production or manufacturing
“Original purchaser” means the person or business that bought the design directly from EDC. This license is personal to you and may not be transferred, resold, or sublicensed.
2. Commercial Use
Commercial use — selling finished embroidered goods or producing items for customers — is not permitted under the personal-use license and requires separate written authorization from EDC, which may involve additional licensing fees. Corporate or brand logos also require written permission from the trademark owner (see Section 3).
3. Corporate Logo & Trademark Notice
Some designs may depict company, brand, team, character, or product logos. These are the trademarks of their respective owners. EDC does not own them, is not affiliated with or endorsed by the owners, and grants no trademark rights.
A logo design does not give you permission to use it. Before embroidering, displaying, or selling any item containing a corporate or brand logo, you must obtain written permission from the trademark owner. The purchaser assumes full responsibility for that authorization and agrees to indemnify EDC against any resulting claim.
4. Copyright
All EDC artwork, design files, and software are protected by copyright and remain the property of TEX INC. – Embroidery Design Club. Copying, sharing, reselling, or redistributing them — in whole or part, digital or physical — violates copyright law and these terms. Your purchase grants a license to use the design, not ownership of it.
5. No Warranty & Test First
Designs are provided “as is.” Results vary by machine, stabilizer, thread, tension, and fabric. Sew a test sample before any production or final piece. EDC is not responsible for material costs, machine issues, or finished results.
6. Digital Products & Refunds
Because designs are digital downloads that can’t be returned once accessed, all sales are final and non-refundable unless required by law or stated at purchase. If a file has a technical problem, contact us and we’ll help.
7. Limitation of Liability
To the fullest extent permitted by law, EDC’s total liability for any claim related to a design is limited to the amount you paid for it. EDC is not liable for indirect, incidental, or consequential damages.
8. Governing Law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Texas.
